Terms and Conditions

1. Services

1.1 Mosaic (“we” or “us”) provides two key services

1.1.1 individual specialist coaching with an AMBDA status specialist teacher and coach (the “Coach”) to empower and enable, in education and the workplace, neurodiverse adults including those with autism and those with dyslexia, dyspraxia and other specific learning difference.

1.1.2 organisational training to promote organisational wellbeing, equality and awareness of neurodiverity and disability-related needs (together the “Services”).

2. Booking process

2.1 To book and use a session, you must be at least 18 years old, have the power, authority and capacity to agree to these Terms and not be barred under any applicable laws from doing so.

2.2 Initial consultation of 30 minutes is fee free. To arrange this, complete the contact form in the booking section. Your coach will be in touch to arrange a suitable time and then your session will be confirmed by email.

2.3 Further sessions are to be booked by arrangement with the coach and Fees are payable after each session.

3. Fees

3.1 In consideration for the provision of the Services, you shall make the required payment (the “Fees”) in accordance with clause 3.

3.2 The full Fees are payable after the session, unless we offer you the option to make payments by instalments.

3.3 Where payment of Fees is made by instalment as per clause 3.2, you shall pay the required portion of the Fees on each payment date, as agreed with us.

3.4 If you fail to make any payment due to us, where it is agreed that payment may be made by instalment as per clause 3.2 above, then, without limitation to our remedies under clause 8 below:

3.4.1 you shall be liable to pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this clause will accrue each day at 4% per annum above the Bank of England’s base rate from time to time, but at 4% per annum for any period when that base rate is below 0%] and

3.4.2 we may suspend all Services until payment has been made in full.

3.5 If you have agreed with your employer that they will be responsible for your Fees, you must inform us of this in writing when making your booking and your employer must confirm to us in writing that they agree to such an arrangement. Upon your request, an invoice can be sent directly to your employer. Employers must pay the full Fees at least 5 days after the date of the individual coaching session, otherwise, further sessions will be cancelled and will only be rescheduled after we have received the Fees.

4 Supply of the Services

4.1 We shall supply the Services to you on the agreed dates, subject to these Terms.

4.2 In supplying the Services, the Coach shall perform the Services with reasonable care and skill and comply with all applicable laws, statutes, regulations and codes from time to time in force.

4.3 The Coach may hire or engage one or more subcontractors (the “Subcontractor”) to perform any or all of its obligations to supply the Services, provided that the Coach shall remain responsible for the performance of the Services in accordance with these Terms.

5 Your obligations

5.1 You shall:

5.1.1 co-operate with us in all matters relating to the Services;

5.1.2 provide, in a timely manner, such information as we may reasonably require, and ensure that it is accurate and complete in all material respects; and

5.1.3 observe, perform and be subject to the terms and conditions posted on https://www.mosaiccoaching.co.uk (the “Website”), including these Terms and the Privacy Policy and Cookie Policy, any of which may be changed from time to time without notice.

5.2 If the Coach’s performance of the Services is prevented or delayed by any act or omission of yours, we shall:

5.2.1 not be liable for any costs, charges or losses sustained or incurred by you that arise directly or indirectly from such prevention or delay;

5.2.2 be entitled to full payment of the Fees or to retain any Fees that have already been paid; and

5.2.3 be entitled to recover any additional costs, charges or losses sustained or incurred that arose directly or indirectly from such prevention or delay.

6 Cancellation of a session

6.1 In the event your Coach is unable to provide the Services due to sickness or circumstances beyond their control, we will seek to reschedule the session at a later date at a time of your choosing.

6.2 If you cancel or do not attend your session you will be charged the full Fee and the next session will not be scheduled until the Fee is received. In the case of sickness or circumstances beyond your control the Fee payment may be waived at the coach’s discretion.

7 Limitation of liability

7.1 Our total liability to you (whether for negligence, breach of contract, misrepresentation or otherwise) for all Services arising out of or relating to these Terms shall not exceed the Fee.

7.2 Notwithstanding anything to the contrary in these Terms, we are not responsible for any indirect or consequential loss incurred as a result of your use of the Services and will not reimburse any other costs which may have been incurred, including, but not limited to, transport and internet costs.

7.3 Nothing in these Terms limits any liability which cannot legally be limited, including liability for death or personal injury caused by negligence and fraud or fraudulent misrepresentation.

8 Termination

8.1 Without affecting any other right or remedy, either of us may terminate the operation of these Terms with immediate effect by giving written notice to the other if:

8.1.1 the other party commits a material breach of any of these Terms and (if such a breach is remediable) fails to remedy that breach within 10 days of receipt of notice in writing to do so; or

8.1.2 the other party repeatedly breaches any of these Terms in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to these Terms.

9 General

9.1 We will use the information you provide on your booking form for administering our coaching sessions only in line with our Privacy Policy, which is available on our Website. Your details will not be shared with any other third party or organisation.

9.2 By booking a session you agree that you will not use the Services as a replacement for diagnosis, psychological treatment or talking therapy, and that you understand that coaching is an additional service, which aims to support productivity.

9.3 Neither party shall be in breach of these Terms nor liable for delay in performing, or failure to perform, any of its obligations under these Terms if such delay or failure result from events, circumstances or causes beyond its reasonable control.

9.4 These Terms do not supersede your rights at law, including, but not limited to your rights under the Consumer Rights Act 2015.

9.5 These Terms constitute the entire agreement between us and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to their subject matter.

9.6 Each of us acknowledge that in entering into these Terms we do not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms.

9.7 These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or its subject matter or formation.

9.8 Save as expressly provided in these Terms, no other person other than each of us may enforce these Terms by virtue of the Contracts (Rights of Third Parties) Act 1999.
